1. About these Terms

These Terms of Service ("Terms") govern your use of RESORO, including the RESORO website, platform, applications, features, content, messaging, profiles, Spaces and Opportunities ("Platform").

By creating an account or using RESORO, you agree to these Terms and our Privacy Policy, Cookie Policy and Space & Content Policy.

If you do not agree, you must not use RESORO.

2. What RESORO is

RESORO is a global professional and knowledge discovery platform designed to help people and organisations discover:

  • people and expertise;
  • organisations;
  • collaboration Spaces; and
  • Opportunities.

RESORO may provide search, discovery, recommendation, matching, messaging, AI-assisted functionality and other features.

RESORO does not guarantee that any connection, Opportunity, collaboration, employment, funding, investment, academic outcome or other result will occur.

3. Eligibility

You must be at least 16 years old to create an account.

By registering, you confirm that:

  • you meet the minimum age requirement;
  • the information you provide is accurate to the best of your knowledge;
  • you will keep your account information reasonably up to date; and
  • you will comply with these Terms and applicable law.

RESORO may apply additional privacy, safety or feature restrictions to younger users where appropriate.

4. Account types

RESORO currently supports two principal account types:

Researcher / Talent
For individuals wishing to present their professional, academic, research or specialist identity.

Organisation
For organisations wishing to establish an organisational presence and participate in discovery, collaboration and Opportunities.

Spaces and Opportunities are user-created objects rather than separate account types.

5. Your account

You are responsible for maintaining the security of your account and login credentials.

You must not:

  • impersonate another person;
  • create a misleading identity;
  • falsely claim an affiliation, qualification or position;
  • create an organisation profile without appropriate authority;
  • share your login credentials;
  • use another person's account; or
  • allow your account to be used for unlawful or abusive activity.

RESORO may require verification where appropriate.

6. Verification

RESORO may use third-party identity-verification services, including Didit, to verify basic identity information.

A verification badge means that RESORO or its verification provider has completed the applicable verification process.

Verification does not mean that RESORO guarantees:

  • a person's qualifications;
  • employment;
  • academic standing;
  • research quality;
  • organisation legitimacy beyond the scope of verification;
  • financial standing;
  • professional conduct; or
  • the authenticity or success of an Opportunity.

7. User content

You may create or upload content including profiles, text, images, documents, certificates, publications, research material, Opportunities, Spaces and other material.

You retain ownership of content that you own.

By submitting content to RESORO, you grant Omiyo Ltd a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, process, adapt and distribute that content only as reasonably necessary to operate, maintain, secure, improve and provide RESORO and its features.

This licence does not transfer ownership of your intellectual property to RESORO.

You must have the necessary rights and permissions to upload or share content.

You should not upload confidential, sensitive or personal information about another person unless you have an appropriate lawful basis or permission to do so.

8. Research and intellectual property

RESORO does not claim ownership of your research, publications, inventions, projects or other intellectual property merely because you upload or share them.

You remain responsible for deciding what material is appropriate to publish.

RESORO does not determine ownership of intellectual property created through collaborations between users.

Users involved in a collaboration should establish appropriate ownership, confidentiality and intellectual-property arrangements independently.

9. Spaces

Users may create Spaces for communities, projects, collaborations, discussions or other activities.

Space creators are responsible for the content and activities they introduce into their Spaces.

RESORO may moderate or remove Spaces that breach these Terms or our Space & Content Policy.

10. Opportunities

RESORO may allow users and organisations to publish Opportunities including jobs, funding, fellowships, research positions, projects, conferences, consulting, partnerships and other opportunities.

RESORO does not guarantee that an Opportunity is:

  • genuine;
  • suitable;
  • financially sound;
  • legally compliant;
  • available;
  • accurately described; or
  • likely to produce any particular result.

Users should independently assess Opportunities before applying, paying money, sharing confidential information or entering an agreement.

RESORO may charge organisations subscription or other fees for platform services.

11. Messaging

RESORO provides private messaging between users.

Messages are protected using encryption appropriate to the service architecture.

However, users should not assume that messaging is an appropriate channel for highly confidential, privileged or commercially sensitive information.

RESORO may access or review messages where reasonably necessary to:

  • investigate a report;
  • protect users;
  • investigate suspected abuse or unlawful activity;
  • enforce these Terms;
  • comply with legal obligations; or
  • respond to lawful requests.

12. AI, search and recommendations

RESORO may use artificial intelligence and automated systems to:

  • search and organise information;
  • recommend relevant people;
  • recommend organisations;
  • recommend Spaces;
  • recommend Opportunities;
  • personalise discovery;
  • generate summaries or other assistance; and
  • improve platform functionality.

RESORO does not use user content to train its own AI models.

Certain platform content may be processed by third-party AI service providers where necessary to provide these features, excluding private chat messages.

AI-generated results may be incomplete, inaccurate or unsuitable.

Users should exercise independent judgement and verify important information.

AI recommendations do not constitute professional, legal, financial, academic, employment or investment advice.

13. No guarantee of outcomes

RESORO is a discovery and connection platform.

We do not guarantee:

  • employment;
  • funding;
  • investment;
  • collaboration;
  • academic admission;
  • publication;
  • commercial success;
  • professional engagement;
  • research results;
  • accuracy of user content; or
  • suitability of any person, organisation, Space or Opportunity.

14. Payments and subscriptions

Some RESORO features may require payment.

Subscriptions may be processed by Stripe or another authorised payment provider.

Applicable pricing, billing frequency and cancellation terms will be displayed before purchase.

Unless otherwise stated, subscriptions renew according to the plan selected.

RESORO does not receive or store complete payment-card details where payment processing is handled by the relevant payment provider.

15. Prohibited use

You must not use RESORO for:

  • unlawful activity;
  • fraud or scams;
  • impersonation;
  • harassment or bullying;
  • threats;
  • hate speech;
  • spam;
  • phishing;
  • sexual exploitation or inappropriate sexual content;
  • illegal content;
  • academic fraud;
  • plagiarism;
  • fabricated research;
  • research misconduct;
  • misleading qualifications;
  • fraudulent Opportunities;
  • copyright infringement;
  • malicious activity;
  • unauthorised access;
  • attempts to circumvent security; or
  • behaviour intended to harm other users.

16. Moderation

RESORO may:

  • review reported content;
  • flag content for human review;
  • remove content;
  • restrict features;
  • suspend accounts;
  • terminate accounts;
  • restrict Spaces;
  • prevent further contact between users; and
  • take other proportionate action.

We aim to apply our policies consistently, but cannot guarantee that every violation will be identified immediately.

Users may appeal eligible moderation decisions through support@resoro.world.

17. Third-party services

RESORO may rely on third-party providers for services such as:

  • identity verification;
  • hosting;
  • payment processing;
  • analytics;
  • security;
  • AI functionality;
  • communications; and
  • infrastructure.

Our Privacy Policy explains relevant categories of third-party processing.

18. Availability

We aim to provide reliable access to RESORO but do not guarantee uninterrupted availability.

RESORO may temporarily suspend or modify features for:

  • maintenance;
  • security;
  • upgrades;
  • technical issues;
  • legal requirements; or
  • other operational reasons.

19. Limitation of responsibility

To the extent permitted by law, Omiyo Ltd is not responsible for losses arising from:

  • user-generated content;
  • interactions between users;
  • Opportunities posted by users;
  • collaborations formed through RESORO;
  • third-party services;
  • inaccurate information supplied by users;
  • decisions made based on AI recommendations; or
  • events outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

20. Suspension and termination

You may stop using RESORO at any time.

RESORO may suspend or terminate accounts where reasonably necessary to:

  • enforce these Terms;
  • protect users;
  • protect the Platform;
  • prevent fraud or abuse;
  • comply with law; or
  • address security or operational risks.

Certain provisions, including intellectual-property, liability and dispute provisions, may continue after termination.

21. Changes

We may update these Terms as RESORO develops.

Material changes will be communicated through reasonable means.

Continued use after the effective date of an updated version may constitute acceptance where legally permitted.

22. Governing law

These Terms are governed by the laws of England and Wales.

Subject to any mandatory rights you may have under applicable law, the courts of England and Wales will have jurisdiction over disputes relating to these Terms.
